Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the United Kingdom Arbitration Association. Judgment upon the award rendered may be entered in any court with jurisdiction.

ARTICLE 12: Severability.
If for any reason, any provision of this agreement is held invalid; all other provisions of this agreement shall remain in effect. If this agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the MARATHON PETROLEUM OIL COMPANY United Kingdom (and any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed.

THIS AGREEMENT is made today to you between MARATHON PETROLEUM OIL COMPANY
UK of one party and you as a second party. For good consideration,
MARATHON PETROLEUM OIL COMPANY UK. Employs the Employee on the following
terms and conditions.

ARTICLE 1: CONTRACT PERIOD
The contract period shall be for Contract duration: The contract shall
last for duration of 5 consecutive Years; 5 years and could be renewed
only if employer is satisfied with employee's services.

ARTICLE 2: SALARY
MARATHON PETROLEUM OIL COMPANY UK. Shall pay Employee on satisfactory
performance of the services the sum of (9, 500 GBP Great Britain Pounds)
monthly, equivalent depending on employee's home country.
Employer shall also take care of employees' Visa, Work Permit, Resident
Permit and air ticket including that of employees' family only on
employees' early notification that he/she is coming along with family or
relative.

ARTICLE 3: Duties and Position.
MARATHON PETROLEUM OIL COMPANY UK hires the Employee in the capacity of
Employee's duties may be reasonably modified at MARATHON PETROLEUM OIL
COMPANY UK. Discretion from time to time.

ARTICLE 4: Employee to Devote Full Time to MARATHON PETROLEUM OIL COMPANY
UK.The Employee will devote full time, attention, and energies to the
business of (MARATHON PETROLEUM OIL COMPANY) PETROLEUM OIL COMPANY, and,
during this employment, will not engage in any other business activity,
regardless of whether such activity is pursued for profit, gain, or other
pecuniary advantage. Employee is not prohibited from making personal
investments in any other businesses provided those investments do not
require active involvement in the operation of said companies.

ARTICLE 5: Confidentiality of Proprietary Information.
Employee agrees, during or after the term of this employment, not to
reveal confidential information from rendering any services to any entity
to whom said information has been or is threatened to be disclosed, the
right to secure an injunction is not exclusive, and the Aviation may
pursue any other remedies it has against the Employee for a breach or
threatened breach of this condition, including the recovery of damages
from the Employee.1month at full pay.

ARTICLE 6: Disability.
In the event that the Employee cannot perform the duties because of
illness or incapacity for a period of more than 1 month, the compensation
otherwise due during said illness. The Employee's full compensation will
be reinstated upon return to work. However, if the Employee is absent from
work for any reason for a continuous period of over 2 month, the Aviation
may terminate the Employee's job, and the MARATHON PETROLEUM OIL COMPANY
UK. Obligations under this agreement will cease on that date.

7:ARTICLE Termination of Agreement.
Without cause. Our MARATHON PETROLEUM OIL COMPANY may terminate this
agreement at any time upon 6 days' written notice to the Employee. If the
MARATHON PETROLEUM OIL COMPANY requests, the Employee will continue to
perform his/her duties and may be paid his/her regular salary up to the
date of termination. In addition, the MARATHON PETROLEUM OIL COMPANY will
pay the Employee on the date of the termination a severance allowance,
less taxes and Social Security required to be withheld, without cause, the
Employee may terminate employment upon 6 days' written notice to the
industry. Employee may be required to perform his or her duties and will
be paid the regular salary to date of termination but shall not receive
severance allowance. Not withstanding anything to the contrary contained
in this agreement,

(a) The sale of substantially all of the PETROLEUM OIL & GASS COMPANY
assets to a single purchaser or group of associated purchasers; or
(b) The sale, exchange, or other disposition, in one transaction of the
majority of the PETROLEUM OIL & GASS COMPANY outstanding corporate
shares; or
(c) MARATHON PETROLEUM OIL COMPANY UK. Decision to terminate its business
and liquidate its assets;
(d) The merger or consolidation of the MARATHON PETROLEUM OIL COMPANY UK
With another PETROLEUM OIL & GASS COMPANY .
(e) Bankruptcy or chapter 11 reorganization.

ARTICLE 8: Death Benefit.
Should Employee die during the term of employment, MARATHON PETROLEUM OIL
COMPANY UK shall pay to Employee's Next of kin/Family any compensation due
through the end of the two months in which death occurred.

ARTICLE 9: OTHER BENEFITS.
Free medical care in United Kingdom for you and your family for contract

appropriate,
Life insurance Policy.Maximum and efficient security both in work place
and housing.

ARTICLE 10: Effect of Prior Agreements.
This Agreement supersedes any prior agreement between MARATHON PETROLEUM
OIL COMPANY UK or any predecessor of the PETROLEUM OIL COMPANY and the
Employee, except that this agreement shall not affect or operate to reduce
any benefit or compensation inuring to the Employee of a kind elsewhere
provided and not expressly provided in this agreement.

ARTICLE 11: Settlement by Arbitration.
Any claim or controversy that arises out of or relates to this agreement,
or the breach of it, shall be settled by arbitration in accordance with
the rules of the United Kingdom Arbitration Association. Judgment upon the
award rendered may be entered in any court with jurisdiction.

ARTICLE 12: Severability.
If for any reason, any provision of this agreement is held invalid; all
other provisions of this agreement shall remain in effect. If this
agreement is held invalid or cannot be enforced, then to the full extent
permitted by law any prior agreement between the MARATHON PETROLEUM OIL
COMPANY United Kingdom (and any predecessor thereof) and the Employee
shall be deemed reinstated as if this agreement had not been executed.

ARTICLE 13: Assumption of Agreement by Company's Successors and Assignees.
The MARATHON PETROLEUM OIL COMPANY UK rights and obligations under this
agreement will inure to the benefit and be binding upon the MARATHON
PETROLEUM OIL COMPANY UK successors and assignees.

ARTICLE 14: Oral Modifications Not Binding.
This instrument is the entire agreement of the MARATHON PETROLEUM OIL
COMPANY UK and the Employee. Oral changes have no effect. It may be
altered only by a written agreement signed by the party against whom
enforcement of any waiver, change, modification, extension, or discharge
is sought.

ARTICLE 15: VISA, WORK/RESIDENCE PERMIT.
Bear it in mind that we will bear the cost for the processing of your
travel document, such as your VISA, Work Permit, Resident Permit Papers and
your Air ticket Only.
Before we could go ahead to release funds for the processing of your
travel document to the UK home office, we must make sure that you have
received your Certificate of Eligibility from the UK home office which
shows that you are eligible and certified by the UK home office to work
with us here in UK as a skilled migrant.

ARTICLE 16: You are to note that our property and our documents remain the
same all over the Globe/Universe for easy Identification.
ARTICLE17: If you are not ready to work with us please do well to decline
this offer with immediate effect for us to reserve the position for some
other serious and committed job applicant coming for the post.

ARTICLE 18: SECURITY.
Due to personal security reasons do not ask us to give you the contact
address of any of our already employed applicant. If you want to confirm
the authenticity of the job offered to you please do well to write us an

1.0.CONSULTING PERSONNEL: You shall be expected to work with a prime experienced EXXON MOBIL UK with the mandate to provide excellent services.

2.0.JOB COMMENCEMENT / LOCATION: The Work Environment will be within the work metropolis of EXXON MOBIL UK, United Kingdom. You are to report to the Human Resources Manager ( Inge Van Coppenolle), upon arrival to conclude prospects of orientation and other Official logistics.

3.0.SALARY INDICATION: You will be eligible to receive Eight Thousand Five Hundred British Pounds Sterling (£8, 500GBP) only -Monthly i.e. AfterTax.



4.0.ALLOWANCES / ENTITLEMENTS:

Hazard / Inconveniences : £600(Monthly)

Car Maintenance : £500(Monthly)

House and Furnishings : £2, 000(Yearly)

Entertainment and recreation : £450 (Monthly)

Travel and Events : £950 (Monthly)



5.0.PAID LEAVE PERIOD /TRAVEL:

You are entitled to 2 months Paid Leave Period, which can be taken once at a time or 2 weeks apart from one difference period.

You will receive £7, 000 Take home for each leave period.

Employer for each Intercontinental trip shall pay £950 flat rate travel/entertainment allowance to employee; travel shall be by business class/first class.Employer shall also take care of employee’s travel ticket including that of employee’s family, only on employee’s early notification to employer and as shall be requested by Employee.



6.0. EXPENSES BEFORE TRAVEL BY EMPLOYEES:



Employer will shoulder the costs for travel expenses, such as processing of Visa, Work/Residence Permit papers of the Employee Only. But Before we bear the cost for your travel documents, we will make sure that you have obtain your Certificate of Eligibility from the UK HOME OFFICE which shows the you are a skilled migrant and also eligible to work here in UK.

This agreement hereby binds the Employer and Employee, in that reimbursements will be made fully to employee upon presentation of expense report, invoice or receipts of expenses.

The first one month benefit shall be paid in advance before any employee of come down to his/her duty posts officially, this is to enable all staff, settle all his / her domestic needs on arrival. As such, no excuses will be entertained on assumption of duty relating to default.

Payment of one month benefit is also geared towards making sure that all employees have enough fund/money in his/her bank account, as the United Kingdom Expatriates Financial Statutory Laws would demand.



7.0. SAFETY AND SECURITY:

Safety and Security (Local & Foreign) and Facilities on Job Locations and Communities are no small issues, and have been seriously considered to ensure and assure hitch-free operations, all workers are entitled to security both at work locations and residential quarters. All operations on job location/site are designed to adhere strictly to Health and Safety Environment (HSE) Policy and Instructions. You are entitled to a free and mandatory safety course on job location to be delivered by qualified safety and environment experts and professionals, all safety wears shall be provided by the company at job locations such as: Safety Coveralls, Gloves, Goggles, Helmet and Safety Shoes, etc.



8.0. FEEDING & ACCOMMODATION

Newly Recruited Staff of EXXON MOBIL UK, you will reside at the Company’s staff Quarters; there are single, bed-room, and flat options to choose from. You shall eat at the staff canteen free of charge, as there are dietary options for vegetarians and non-vegetarians.



9.0. MEDICAL EXPENSES:

Employer will provide the employee with comprehensive Health Care for the term of contract, and follow on care for any injury(s) sustained during the term of contract for employee and family.



10.0. OFFICE ASSETS TO BE PROVIDED BY EMPLOYER:

Computer Resources: Laptop Computer, 1.80 GHz Processor, 2 GB RAM, 24XCD-RW, 30GB Hard Drive, Floppy Drive, Integrated Network Adapter, Internal 56K Modem, Spare Battery, and Necessary software, full time Internet Access is also made available.

Phones: Employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.



11.0. TELECOMMUNICATION / INTERNET FACILITIES:

There are standard Telecommunication Facilities and Internet Services at the disposal of all expatriates and it shall be accessible to all Personnel (Local/Foreign) without any charge or expenses to be incurred.

Expatriates should obtain Cellular Phone provided in the Work Metropolis, but must be used in accordance with the safety regulations on job locations.



12.0. ADDITIONAL SERVICES:

Recreational / Sports Facilities shall also be made available at the disposal of all expatriates with no expenses to be incurred. Laundry and Dry cleaning Services will also be made available to all expatriates by the company’s Laundry and Dry cleaning Unit
