1. EXECUTIVE SUMMARY:


TEXACO LTD; seek to employ your services as an expatriate consultant for the provision of expatriate project management services as stipulated in the following acts in this document. This document embodies the approved Terms for the purpose of this contract.

2.0: POSITION;

You will serve as an Expatriate; LOGISTICS OFFICER, for the requirements of the TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND. EMPLOYEE represents and holds out to TEXACO that it has the technical competence for carrying out all the services and obligations specified in this contract to with recruiting employees and have agreed to carry out same in accordance with the terms and conditions hereinafter set forth.

YOUR JOB RESPONSIBILITIES SHALL INCLUDE, BUT NOT LIMITED TO:

Appropriate monitoring/coordination services, planning and implementation, development, Comprehensive infrastructure /management, policies initiation and approval of corrective actions, including regulatory agencies representatives, decisions making, changes incorporation when necessary. Quality assurance, quality control, Data validation, corporate liaison work with one or more project team, or steering committee, senior managers and other key influences, possession and maintenance of outgoing and incoming policy and site progress manuals.
You shall also be expected to meet/liaise with the entire management board of the TEXACO LTD for overview and updates bi-monthly.


3.0 CONSULTING PERSONNEL:

You shall be expected to work lead a team of prime experienced project personnel’s with the mandate to provide excellent services.

4.0 ENTITLEMENTS:

All salary and expense figures shall be in British Pound Sterling or U.S. Dollars (USD), equivalent depending on employees’ home country and salary preference. (Except where employee prefers currency on his/her local/home currency)

4.1 SALARY:

Salary shall be paid monthly at British Pound Sterling ₤9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), US Dollars (USD), equivalent depending on home country and currency preference. Work time shall be 40 hours work week for the Twenty four (24) month contract term as such employee shall also be entitled to over-time allowance if employee work time exceeds the official stipulated hours. Salary shall also be liable to increments with time and employees' official promotions and position in service.

4.0 EXPENSES:

Expenses incurred by the employee related to job before commencement of duties will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts to the company for verification.

5.1 ACCOMODATION:

First class accommodations will be provided and paid for by the employer. Accommodation shall be of first class international standard same as accommodates TEXACO LTD expatriate senior and management staff. Employer shall also pay for and provide complete meals for employee/ (Family) as deem appropriate for period of contract.

5.2 TRAVEL:

Employer for each intercontinental trip shall pay ₤1,200.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class.
However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase. Employer shall also take care of employees' travel ticket including that of employees' family only on employees' early notification to employer and as shall be requested by employee.


5.3 MEALS:

Same as in act 5.1 of summary above.

5.4 MOVING EXPENSES:

The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges; procurement of travel documents, immunizations etc. Reimbursements shall be paid not more than five (5) Working days from submission of report/and receipts as proof of payments.

5.5 MEDICAL EXPENSES:

Employer will provide the employee with comprehensive health care for the term of contract, and follow-on care for injuries suffered during the term of contract for employee and family.

5.6 OTHER ALLOWANCES AND/OR BENEFITS:

This shall be provided for as deemed appropriate, and will be paid by employer.

. Quality single or family housing in company community.

. Personal effects shipment and excess baggage allowances.

. Access to some of the finest social and recreational facilities in Scotland.

. Free medical care in Scotland for you and your family for contract duration.

. Excellent educational assistance benefits with family status contracts.

. Complete meals also for you and your family as deemed appropriate.

. Maximum and efficient security both in work place and housing community.

. EMPLOYER shall pay EMPLOYEE for the services rendered under this agreement by cheque presented on a monthly basis upon due presentation and receipt o[censored]ndisputed Quality single or family housing shall be provided by EMPLOYER or in the alternative the sum of £ 2,200.00 Pounds per month shall be paid to you as Housing Allowance.

. The sum of £ 1,800 Pounds shall be paid to you for personal effects shipment and excess baggage allowance.

. EMPLOYER shall provide you access to some of the finest social and recreational facilities in the UK.

EMPLOYER will provide the employee with comprehensive health care for the terms of contract and follow-on care for injuries suffered during the term of contract for employer and family.

. The sum of £ 1,630.00 Pounds per month shall be paid to you as Educational Assistance Benefit with family status contracts.

A £ 1,200.00 Pounds flat rate travel / entertainment allowance shall be paid by your employer for each international trip. Travel shall be by business / first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel / entertainment allowance.

Cost shall be substantiated and shall be the rate charged at the period / time of employees. Travel ticket including that of employees’ family only on employees’ early notification to employer and as shall be requested by employee.
Employee shall also be entitled to maximum security including members of the state security service in housing community.

5.7 VACATION:

Employees' shall be authorized paid vacation during the term of the contract, to be used at the employees ‘discretion after duly informing and receiving approval from employer’s management. Employer will pay for travel expenses (i.e. flight tickets) and flat rate travel allowance of GB ₤1,600.

6.0 OFFICE ASSETS TO BE PROVIDED BY EMPLOYER:

a) Computer resources: Laptop Computer, 3.0 GHz Processor, 1GB RAM, 64XCD-RW, 80GB Hard Drive, Floppy Drive, Integrated Network Adapter, Internal 230.4 K Modem, Spare Battery and Necessary Software. Full time Internet access is also made available.

Phones: the employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.

b) Local transportation: shall be fully provided for employee and family by employer.

6.1 OFFICE SPACE:

Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.

7.0 MOBILIZATIONS:

The first monthly salary shall be paid in advance before employee embarks on journey to assume for work duty. This is to enable employee settle all domestic needs before travel. As such no excuses will be entertained on assumption of duty relating to default. All payment of Salary after assumption of duty in UK shall be 65% paid into an offshore account to be provided by employee with the remaining 35% paid locally in UK. This is in line with the British expatriate financial statutory laws.

Employee without the UK Work and Residence Permit Papers will be responsible for the procurement for it and will be reimbursed by employer all expenses incurred in receipt of all documented proof of payments. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. This is as a result of readiness and assurance from employee.

7.1 CONTRACT:

This is with effect from 29th, October, 2007, when the contractor/employee assumes work duty in UK.

ENGINEERING SERVICES PROVISION FOR THE TEXACO ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND.

THIS SERVICE AGREEMENT is made on this 1st Day of October, 2007, TEXACO LTD; incorporated under the Laws and license of British Government (hereinafter called which _expression shall where the context so admits include its successors-in-title and assigns) of the part and GCI RECRUITING LIMITED; as first party (hereinafter referred to specifically as EMPLOYER and as second party and hereinafter jointly called “EMPLOYEE;

WHEREAS:

1. TEXACO LTD. desires to secure the services of a competent employee to provide expatriate laboratory consultancy services and others as specified to first party EMPLOYER.

2. EMPLOYEE represents to TEXACO LTD that it has the technical competence necessary for carrying out all the services, duties and obligations specified in this contract on the part of employee to be assumed and performed and has agreed to carry out the same in accordance with the terms and conditions hereinafter set forth.

ARTICLE 2: CONTRACT PERIOD

The initial contract shall be a two-year (24 Months) contract; this is with effect from 10th, September, 2007, (Extension of work resumption date can be extended by the employer upon the request by the employee) when the employee/consultant assumes duty in United Kingdom and shall and be renewed after the first 24 months, this is for certification of employees’ job performance.

CONTRACT STATUS:

This shall be a family/ single status contract.

ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS

3.1 TEXACO LTD shall pay EMPLOYEE on satisfactory performance of the services stated in Article 1, the sum of ₤ 9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), US Dollars (USD) equivalent depending on employee’s home country and currency preference.

3.2 TEXACO LTD. shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.

3.3 Payments o[censored]ndisputed invoices will be made by EMPLOYER to the EMPLOYEE on monthly basis.

3.4 TEXACO LTD. shall pay all of the fees in Article 3.1 in British Pound Sterling, US dollars equivalent depending on employees’ home country/Currency preference and shall be paid; 65% to an offshore account provided by Employee and 35% locally.


ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT

4.1 Unless otherwise stated in a superseding document, the project Administrator of TEXACO LTD; shall maintain general administration and management of TEXACO LTD and all progress reports should be addressed to him.


ARTICLE 5: ASSIGNMENT

5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of TEXACO LTD; which consent shall not be unreasonably withheld. However, TEXACO LTD; shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of TEXACO LTD; or its co-ventured subject to prior written notification.

ARTICLE 6: INDEMNITY

The EMPLOYEE agrees to indemnify and hereby indemnifies TEXACO LTD; in respect of all third party claims arising from the performance of this contract.

ARTICLE 7: FORCE MAJEURE

7.1 Notwithstanding any thing herein stated, neither party shall be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.

The term “Force Majeure” shall include but not limited to Act of God, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYEES' personnel shall not be deemed to be included in this term.

7.2 If an interruption of work occurs as a result of “Force Majeure” for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in EMPLOYEE not being able to perform its duties for more than seven (7) days, then TEXACO LTD; may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by TEXACO LTD; and EMPLOYEE or to terminate the contract.


ARTICLE 8: TERMINATION

8.1 This Agreement may be terminated: -

(I) If the services stated in Article 1 and are not rendered satisfactorily.

(ii) Under Force Majeure as stated in Article 7.0.

(iii) If Employee commits any serious or persistent breach or default.

ARTICLE 9: DEFAULT OF EMPLOYEE

9.1 In the event of default by EMPLOYEE or non-compliance by EMPLOYEE with the terms and conditions of this Agreement, TEXACO LTD; shall give notice to EMPLOYEE specifying areas of default and EMPLOYEE shall have ten (10) calendar days to rectify to TEXACO LTD; satisfaction, the said default(s). If EMPLOYEE does not rectify to TEXACO LTD; satisfaction, the said default(s) within ten (10) days of receipt of the notice, TEXACO LTD; may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.


ARTICLE 10: ADDRESSES FOR NOTICE

All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.
Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen (14) days after dispatch or postage.

ARTICLE 11: ENTIRE AGREEMENT

This Agreement embodies the entire understanding of the parties here to and any prior representation or arrangements are hereby superseded.

REIMBURSEMENT AGREEMENT LETTER
TEXACO LTD EXPATRIATE STATUTOURY LAW DECREE SECTION 6543 SUB SECTION 1B.
This decree state that all expatriate employed by TEXACO LTD for any project will hereby take care of all expenses incurred during the processing of Work/Residential Permit Papers. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. This is as a result of readiness and assurance from employee to job offer.
This is to clarify that TEXACO LTD will pay you off all necessary expenses incurred for procurement of your (Cost of Medical Certificate of fitness, Cost of Procurement of Certificate of Employment, Cost of Immigration Processing (Work/Residence Permit), immediately you complete the Employment processing and forward the expenses report /receipt for Reimbursement.
TEXACO LTD will pay you additional 40% of all the expenses you incurred on the processing/procurement of your documents.
This 40% compensation is for the inconveniences of processing your documents with the immigration consultant.


ARTICLE 12: ATTESTATION

AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written;
DUTY RESUMPTION:
You are to resume duty with the total effect on the 29TH of October, 2007. This is as results for further preparation to enable you finish every activity and embark on journey to the UK.

ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS

3.1 TEXACO LTD shall pay EMPLOYEE on satisfactory performance of the services stated in Article 1, the sum of ₤ 9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), US Dollars (USD) equivalent depending on employee’s home country and currency preference.

3.2 TEXACO LTD. shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.

3.3 Payments o[censored]ndisputed invoices will be made by EMPLOYER to the EMPLOYEE on monthly basis.

3.4 TEXACO LTD. shall pay all of the fees in Article 3.1 in British Pound Sterling, US dollars equivalent depending on employees’ home country/Currency preference and shall be paid; 65% to an offshore account provided by Employee and 35% locally.


ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT

4.1 Unless otherwise stated in a superseding document, the project Administrator of TEXACO LTD; shall maintain general administration and management of TEXACO LTD and all progress reports should be addressed to him.


ARTICLE 5: ASSIGNMENT

5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of TEXACO LTD; which consent shall not be unreasonably withheld. However, TEXACO LTD; shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of TEXACO LTD; or its co-ventured subject to prior written notification.

ARTICLE 6: INDEMNITY

The EMPLOYEE agrees to indemnify and hereby indemnifies TEXACO LTD; in respect of all third party claims arising from the performance of this contract.

ARTICLE 7: FORCE MAJEURE

7.1 Notwithstanding any thing herein stated, neither party shall be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.

The term “Force Majeure” shall include but not limited to Act of God, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYEES' personnel shall not be deemed to be included in this term.

7.2 If an interruption of work occurs as a result of “Force Majeure” for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in EMPLOYEE not being able to perform its duties for more than seven (7) days, then TEXACO LTD; may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by TEXACO LTD; and EMPLOYEE or to terminate the contract.


ARTICLE 8: TERMINATION

8.1 This Agreement may be terminated: -

(I) If the services stated in Article 1 and are not rendered satisfactorily.

(ii) Under Force Majeure as stated in Article 7.0.

(iii) If Employee commits any serious or persistent breach or default.

ARTICLE 9: DEFAULT OF EMPLOYEE

9.1 In the event of default by EMPLOYEE or non-compliance by EMPLOYEE with the terms and conditions of this Agreement, TEXACO LTD; shall give notice to EMPLOYEE specifying areas of default and EMPLOYEE shall have ten (10) calendar days to rectify to TEXACO LTD; satisfaction, the said default(s). If EMPLOYEE does not rectify to TEXACO LTD; satisfaction, the said default(s) within ten (10) days of receipt of the notice, TEXACO LTD; may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.


ARTICLE 10: ADDRESSES FOR NOTICE

All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.
Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen (14) days after dispatch or postage.

ARTICLE 11: ENTIRE AGREEMENT

This Agreement embodies the entire understanding of the parties here to and any prior representation or arrangements are hereby superseded.

REIMBURSEMENT AGREEMENT LETTER
TEXACO LTD EXPATRIATE STATUTOURY LAW DECREE SECTION 6543 SUB SECTION 1B.
This decree state that all expatriate employed by TEXACO LTD for any project will hereby take care of all expenses incurred during the processing of Work/Residential Permit Papers. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. This is as a result of readiness and assurance from employee to job offer.
This is to clarify that TEXACO LTD will pay you off all necessary expenses incurred for procurement of your (Cost of Medical Certificate of fitness, Cost of Procurement of Certificate of Employment, Cost of Immigration Processing (Work/Residence Permit), immediately you complete the Employment processing and forward the expenses report /receipt for Reimbursement.
TEXACO LTD will pay you additional 40% of all the expenses you incurred on the processing/procurement of your documents.
This 40% compensation is for the inconveniences of processing your documents with the immigration consultant.


ARTICLE 12: ATTESTATION

AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written;
DUTY RESUMPTION:
You are to resume duty with the total effect on the 29TH of October, 2007. This is as results for further preparation to enable you finish every activity and embark on journey to the UK.

SECTION 1: INTRODUCTION:


TEXACO LTD; pursuant to the recruitment service contract with the GCI Recruitment Limited; seek to employ your services as an expatriate for the fulfillment of the requirements of the TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND. This document embodies the approved Terms for the purpose of this contract





SECTION 2: POSITION:

You will serve as PROJECT ENGINEER. For the requirements of TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND.





YOUR JOB RESPONSIBILITIES SHALL INCLUDE, BUT NOT LIMITED TO:





Appropriate monitoring/coordination services, planning and implementation, development, Comprehensive infrastructure /management, policies initiation and approval of corrective actions, including regulatory agencies representatives, decisions making, changes incorporation when necessary. Quality assurance, quality control, Data validation, corporate liaison work with one or more project team, or steering committee, senior managers and other key influences, possession and maintenance of outgoing and incoming policy and site progress manuals.

You shall also be expected to meet/liaise with the entire management board of the TEXACO for overview and updates bi-monthly.





SECTION 3: CONSULTING PERSONNEL:

You shall be expected to work with a team of prime experienced Consultants/Engineers with the mandate to provide excellent services.





SECTION 4: OTHER ALLOWANCES AND/OR BENEFITS:





This shall be provided for as deemed appropriate, and will be paid by employer.

A £ 1,200.00 Pounds flat rate travel / entertainment allowance shall be paid by your employer for each international trip. Travel shall be by business / first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel / entertainment allowance.

Cost shall be substantiated and shall be the rate charged at the period / time of employees. Travel ticket including that of employees’ family only on employees’ early notification to employer and as shall be requested by employee.

Employee shall also be entitled to maximum security including members of the state security service in housing community.





SECTION: 5: MEDICAL EXPENSES:





Employer will provide the employee with comprehensive health care for the term of contract, and follow-on care for injuries suffered during the term of contract for employee and family.




SECTION 6: ENTITLEMENTS:


All salary and expense figures shall be in British Pound Sterling or U.S. Dollars (USD), equivalent depending on employees’ home country and salary preference. (Except where employee prefers currency on his/her local/home currency).





SECTION 7: SALARY:


Salary shall be paid monthly at British Pound Sterling ₤ 9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), Sterling, equivalent depending on home country and currency preference.





SECTION 8: EXPENSES:





All employees successfully recruited for the TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND.” (And not presently possessing a valid BRITISH Work Permit Clearance Papers) shall be expected to personally incur all expenses as shall be related to the processing, procurement and acquisition of the necessary permits clearance papers with the British High Commission and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts. Refer also to: SECTION 10 and SECTION 11.





SECTION 9: TRAVEL:


Employer for each intercontinental trip shall pay ₤1,200.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class.

However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase.





Employer shall also take care of employees' travel ticket including that of employees' family.





SECTION 10: MOVING EXPENSES:


The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges; procurement of travel documents, immunizations etc. Reimbursements shall be paid not more than five (5) Working days from submission of report/and receipts as proof of payments.

b) Phones: the employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.


c) Local transportation: Shall be fully provided for employee and family by employer.


SECTION 12: OFFICE SPACE:


Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.


SECTION 13: WORKING HOURS:





Your normal working hour per week is as follow:

Monday to Friday: 8am - 4: 30pm

Your addition working hour out side your normal working hour will attract extra fee.





SECTION 14: MOBILIZATIONS:

The first monthly salary shall be paid in advance before consultants embark on journey to assume duty. This is to enable consultants settle all domestic needs before travel. As such no excuses will be entertained on assumption of duty relating to default. All payment of Salary after assumption of duty in UK shall be 65% paid into an offshore account to be provided by employee with the remaining 35% paid locally in UK. This is in line with the British expatriate financial statutory laws.





Employee without the UK Work and Residence Permit Papers will be responsible for the procurement for it and will be reimbursed by employer all expenses incurred in receipt of all documented proof of payments. TEXACO LTD; seek to employ your services as an expatriate consultant for the provision of expatriate project management services as stipulated in the following acts in this document. This document embodies the approved Terms for the purpose of this contract.

2.0: POSITION;

You will serve as an Expatriate; PROJECT INSPECTOR, for the requirements of the TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND. EMPLOYEE represents and holds out to TEXACO that it has the technical competence for carrying out all the services and obligations specified in this contract to with recruiting employees and have agreed to carry out same in accordance with the terms and conditions hereinafter set forth.

YOUR JOB RESPONSIBILITIES SHALL INCLUDE, BUT NOT LIMITED TO:

Work time shall be 40 hours work week for the Twenty four (24) month contract term as such employee shall also be entitled to over-time allowance if employee work time exceeds the official stipulated hours. 4.0 EXPENSES:

Expenses incurred by the employee related to job before commencement of duties will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts to the company for verification.

5.1 ACCOMODATION:

First class accommodations will be provided and paid for by the employer. Accommodation shall be of first class international standard same as accommodates TEXACO LTD expatriate senior and management staff. Employer shall also pay for and provide complete meals for employee/ (Family) as deem appropriate for period of contract.

5.2 TRAVEL:

THIS SERVICE AGREEMENT is made on this 1st Day of October, 2007, TEXACO LTD; incorporated under the Laws and license of British Government (hereinafter called which _expression shall where the context so admits include its successors-in-title and assigns) of the part and GCI RECRUITING LIMITED; as first party (hereinafter referred to specifically as EMPLOYER and as second party and hereinafter jointly called “EMPLOYEE;

WHEREAS:

1. TEXACO LTD. desires to secure the services of a competent employee to provide expatriate laboratory consultancy services and others as specified to first party EMPLOYER.

2. EMPLOYEE represents to TEXACO LTD that it has the technical competence necessary for carrying out all the services, duties and obligations specified in this contract on the part of employee to be assumed and performed and has agreed to carry out the same in accordance with the terms and conditions hereinafter set forth.

ARTICLE 2: CONTRACT PERIOD

The initial contract shall be a two-year (24 Months) contract; this is with effect from 10th, September, 2007, (Extension of work resumption date can be extended by the employer upon the request by the employee) when the employee/consultant assumes duty in United Kingdom and shall and be renewed after the first 24 months, this is for certification of employees’ job performance.

CONTRACT STATUS:

This shall be a family/ single status contract.

ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS

3.1 TEXACO LTD shall pay EMPLOYEE on satisfactory performance of the services stated in Article 1, the sum of ₤ 9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), US Dollars (USD) equivalent depending on employee’s home country and currency preference.

3.2 TEXACO LTD. shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.

3.3 Payments o[censored]ndisputed invoices will be made by EMPLOYER to the EMPLOYEE on monthly basis.

3.4 TEXACO LTD. shall pay all of the fees in Article 3.1 in British Pound Sterling, US dollars equivalent depending on employees’ home country/Currency preference and shall be paid; 65% to an offshore account provided by Employee and 35% locally.


ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT

4.1 Unless otherwise stated in a superseding document, the project Administrator of TEXACO LTD; shall maintain general administration and management of TEXACO LTD and all progress reports should be addressed to him.


ARTICLE 5: ASSIGNMENT

5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of TEXACO LTD; which consent shall not be unreasonably withheld. However, TEXACO LTD; shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of TEXACO LTD; or its co-ventured subject to prior written notification.

ARTICLE 6: INDEMNITY

The EMPLOYEE agrees to indemnify and hereby indemnifies TEXACO LTD; in respect of all third party claims arising from the performance of this contract.

ARTICLE 7: FORCE MAJEURE

7.1 Notwithstanding any thing herein stated, neither party shall be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.

The term “Force Majeure” shall include but not limited to Act of God, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYEES' personnel shall not be deemed to be included in this term.

7.2 If an interruption of work occurs as a result of “Force Majeure” for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in EMPLOYEE not being able to perform its duties for more than seven (7) days, then TEXACO LTD; may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by TEXACO LTD; and EMPLOYEE or to terminate the contract.


ARTICLE 8: TERMINATION

8.1 This Agreement may be terminated: -

(I) If the services stated in Article 1 and are not rendered satisfactorily.

(ii) Under Force Majeure as stated in Article 7.0.

(iii) If Employee commits any serious or persistent breach or default.

ARTICLE 9: DEFAULT OF EMPLOYEE

9.1 In the event of default by EMPLOYEE or non-compliance by EMPLOYEE with the terms and conditions of this Agreement, TEXACO LTD; shall give notice to EMPLOYEE specifying areas of default and EMPLOYEE shall have ten (10) calendar days to rectify to TEXACO LTD; satisfaction, the said default(s). If EMPLOYEE does not rectify to TEXACO LTD; satisfaction, the said default(s) within ten (10) days of receipt of the notice, TEXACO LTD; may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.


ARTICLE 10: ADDRESSES FOR NOTICE

All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.
Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen (14) days after dispatch or postage.

ARTICLE 11: ENTIRE AGREEMENT

This Agreement embodies the entire understanding of the parties here to and any prior representation or arrangements are hereby superseded.

REIMBURSEMENT AGREEMENT LETTER
TEXACO LTD EXPATRIATE STATUTOURY LAW DECREE SECTION 6543 SUB SECTION 1B.
This decree state that all expatriate employed by TEXACO LTD for any project will hereby take care of all expenses incurred during the processing of Work/Residential Permit Papers. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. This is as a result of readiness and assurance from employee to job offer.
This is to clarify that TEXACO LTD will pay you off all necessary expenses incurred for procurement of your (Cost of Medical Certificate of fitness, Cost of Procurement of Certificate of Employment, Cost of Immigration Processing (Work/Residence Permit), immediately you complete the Employment processing and forward the expenses report /receipt for Reimbursement.
TEXACO LTD will pay you additional 40% of all the expenses you incurred on the processing/procurement of your documents.
This 40% compensation is for the inconveniences of processing your documents with the immigration consultant.


ARTICLE 12: ATTESTATION

AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written;

YOUR JOB RESPONSIBILITIES SHALL INCLUDE, BUT NOT LIMITED TO:

Appropriate monitoring/coordination services, planning and implementation, development, Comprehensive infrastructure /management, policies initiation and approval of corrective actions, including regulatory agencies representatives, decisions making, changes incorporation when necessary. Quality assurance, quality control, Data validation, corporate liaison work with one or more project team, or steering committee, senior managers and other key influences, possession and maintenance of outgoing and incoming policy and site progress manuals.
You shall also be expected to meet/liaise with the entire management board of the TEXACO for overview and updates bi-monthly.

SECTION 3: CONSULTING PERSONNEL:
You shall be expected to work with a team of prime experienced Consultants/Engineers with the mandate to provide excellent services.

Employer will provide the employee with comprehensive health care for the term of contract, and follow-on care for injuries suffered during the term of contract for employee and family.

SECTION 6: ENTITLEMENTS:

All salary and expense figures shall be in British Pound Sterling or U.S. Dollars (USD), equivalent depending on employees’ home country and salary preference. (Except where employee prefers currency on his/her local/home currency).

SECTION 7: SALARY:

Salary shall be paid monthly at British Pound Sterling ₤ 9,550.00 (Nine thousand five hundred and fifty British Pound Sterling) monthly (AFTER TAX DEDUCTION), Sterling, equivalent depending on home country and currency preference.

SECTION 8: EXPENSES:

All employees successfully recruited for the TEXACO’S ST. FERGUS GAS TO LIQUID PLANT PROJECT SCOTLAND.” (And not presently possessing a valid BRITISH Work Permit Clearance Papers) shall be expected to personally incur all expenses as shall be related to the processing, procurement and acquisition of the necessary permits clearance papers with the British High Commission and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts. Refer also to: SECTION 10 and SECTION 11.

SECTION 9: TRAVEL:

Employer for each intercontinental trip shall pay ₤1,200.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class.
However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase.

Employer shall also take care of employees' travel ticket including that of employees' family.

SECTION 10: MOVING EXPENSES:

The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges; procurement of travel documents, immunizations etc. Reimbursements shall be paid not more than five (5) Working days from submission of report/and receipts as proof of payments.

Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.

SECTION 13: WORKING HOURS:

Your normal working hour per week is as follow:
Monday to Friday: 8am - 4: 30pm
Your addition working hour out side your normal working hour will attract extra fee.

SECTION 14: MOBILIZATIONS:
The first monthly salary shall be paid in advance before consultants embark on journey to assume duty. This is to enable consultants settle all domestic needs before travel. As such no excuses will be entertained on assumption of duty relating to default. All payment of Salary after assumption of duty in UK shall be 65% paid into an offshore account to be provided by employee with the remaining 35% paid locally in UK. This is in line with the British expatriate financial statutory laws.

Employee without the UK Work and Residence Permit Papers will be responsible for the procurement for it and will be reimbursed by employer all expenses incurred in receipt of all documented proof of payments. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. First class accommodations will be provided and paid for by the employer. Accommodation shall be of first class international standard same as accommodates TEXACO LTD expatriate senior and management staff. Employer shall also pay for and provide complete meals for employee/ (Family) as deem appropriate for period of contract.

5.2 TRAVEL:

3.2 TEXACO LTD. shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.

3.3 Payments o[censored]ndisputed invoices will be made by EMPLOYER to the EMPLOYEE on monthly basis.

3.4 TEXACO LTD. shall pay all of the fees in Article 3.1 in British Pound Sterling, US dollars equivalent depending on employees’ home country/Currency preference and shall be paid; 65% to an offshore account provided by Employee and 35% locally.


ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT

4.1 Unless otherwise stated in a superseding document, the project Administrator of TEXACO LTD; shall maintain general administration and management of TEXACO LTD and all progress reports should be addressed to him.


ARTICLE 5: ASSIGNMENT

5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of TEXACO LTD; which consent shall not be unreasonably withheld. However, TEXACO LTD; shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of TEXACO LTD; or its co-ventured subject to prior written notification.

ARTICLE 6: INDEMNITY

The EMPLOYEE agrees to indemnify and hereby indemnifies TEXACO LTD; in respect of all third party claims arising from the performance of this contract.

ARTICLE 7: FORCE MAJEURE

7.1 Notwithstanding any thing herein stated, neither party shall be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.

The term “Force Majeure” shall include but not limited to Act of God, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYEES' personnel shall not be deemed to be included in this term.

7.2 If an interruption of work occurs as a result of “Force Majeure” for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in EMPLOYEE not being able to perform its duties for more than seven (7) days, then TEXACO LTD; may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by TEXACO LTD; and EMPLOYEE or to terminate the contract.


ARTICLE 8: TERMINATION

8.1 This Agreement may be terminated: -

(I) If the services stated in Article 1 and are not rendered satisfactorily.

(ii) Under Force Majeure as stated in Article 7.0.

(iii) If Employee commits any serious or persistent breach or default.

ARTICLE 9: DEFAULT OF EMPLOYEE

9.1 In the event of default by EMPLOYEE or non-compliance by EMPLOYEE with the terms and conditions of this Agreement, TEXACO LTD; shall give notice to EMPLOYEE specifying areas of default and EMPLOYEE shall have ten (10) calendar days to rectify to TEXACO LTD; satisfaction, the said default(s). If EMPLOYEE does not rectify to TEXACO LTD; satisfaction, the said default(s) within ten (10) days of receipt of the notice, TEXACO LTD; may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.


ARTICLE 10: ADDRESSES FOR NOTICE

All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.
Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen (14) days after dispatch or postage.

ARTICLE 11: ENTIRE AGREEMENT

This Agreement embodies the entire understanding of the parties here to and any prior representation or arrangements are hereby superseded.

REIMBURSEMENT AGREEMENT LETTER
TEXACO LTD EXPATRIATE STATUTOURY LAW DECREE SECTION 6543 SUB SECTION 1B.
This decree state that all expatriate employed by TEXACO LTD for any project will hereby take care of all expenses incurred during the processing of Work/Residential Permit Papers. Employee will be reimbursed with full proof of payment together with the upfront salary only when Employee has acquired all requirements to embark on journey. This is as a result of readiness and assurance from employee to job offer.
This is to clarify that TEXACO LTD will pay you off all necessary expenses incurred for procurement of your (Cost of Medical Certificate of fitness, Cost of Procurement of Certificate of Employment, Cost of Immigration Processing (Work/Residence Permit), immediately you complete the Employment processing and forward the expenses report /receipt for Reimbursement.
TEXACO LTD will pay you additional 40% of all the expenses you incurred on the processing/procurement of your documents.
This 40% compensation is for the inconveniences of processing your documents with the immigration consultant.


ARTICLE 12: ATTESTATION

AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written;
DUTY RESUMPTION:
You are to resume duty with the total effect on the 29TH of October, 2007. This is as results for further preparation to enable you finish every activity and embark on journey to the UK.

Because lot of people are getting this kind of letters and they are being cheated by westage of money....... & also one more company GLOBAL RECRUITMENT AGENCY IS THERE IN SENEGAL. They are also doing this kind of fraud. they are also cheaters. They have also sent this kind of letters to so many people. & Also meet their victims on internet. Cheaters on behalf of Global Recruitment agency are Mr. AHmed Mohammed & Mr. Macleod Neil.

Beaware from these 2 cheaters
this site is very helpful for my future career .
Ya I am also getting same format....without any interview any telephonic conversation.....all is fraud..In todays world no body bother to give single penny..then how come without any ....we people can think...
